Lists of candidates submitted for the election of the Board of Directors and the Board of Statutory Auditors
Siena, 25 March 2026 – Banca Monte dei Paschi di Siena S.p.A. (the “Bank”) announces that – in addition to the list of candidates for the office of Directors presented by the outgoing Board of Directors pursuant to Article 147-ter.1 of Legislative Decree no. 58/1998, as amended (the “Consolidated Financial Act”), filed on 6 March 2026, with the progressive order of the candidates indicated in the press release dated 24 March 2026 (the “List No. 1”) – Shareholders have submitted, within the time limits set forth by applicable laws and the By-Laws, no. 2 lists of candidates for the election of the Board of Directors and no. 3 lists of candidates for the election of the Board of Statutory Auditors, in view of the Shareholders’ Meeting of 15 April 2026 (the “Shareholders’ Meeting”).
The documentation relating to the above lists is available to the public at the Bank’s registered office, on the website www.gruppomps.it in the section Corporate Governance - Assemblee Azionisti e CdA, and on the authorised storage mechanism “eMarket STORAGE” www.emarketstorage.com.
With reference to the list of candidates submitted by PLT Holding S.r.l. and PLT S.p.A., the Board of Directors reserves the right to carry out any appropriate assessment in relation to the documentation concerning such list, including with regard to its compliance with applicable corporate and regulatory provisions, and to initiate appropriate discussions with the competent Authorities.
The Bank’s Board of Directors, in compliance with Article 148, paragraph 2, of the Consolidated Financial Act and Article 144-quinquies of the Consob Issuers’ Regulation, having regard to the recommendations set out in Consob Communication no. DEM/9017893 of 26 February 2009, as well as Consob Warning Notice no. 1/22 of 21 January 2022, has also assessed that, among the Shareholders who submitted lists for the election of the Board of Directors and the Board of Statutory Auditors, there are – to the Bank’s knowledge – no relationships deemed decisive for the existence of relationships connections under the aforementioned regulations.
