Siena, 29 October 2026 - The Ordinary and Extraordinary Shareholders’ Meeting of Banca Monte dei Paschi di Siena S.p.A. (the “Bank” or “BMPS”) was held today in Siena, under the chairpersonship of Prof. Cesare Bisoni, with shareholders representing 65.86% of the share capital in attendance.
With regard to item 1 on the agenda of the ordinary session, the Shareholders’ Meeting resolved to expand the Board of Directors by appointing as Directors the members of the Board who had already been co-opted on 8 September 2026:
- Prof. Gianluca Brancadoro, lawyer, independent;
- Dr. Alessandro Caltagirone, non-independent;
The curricula vitae of the appointed Directors are published on the Bank’s website www.gruppomps.it/en (under the Shareholders’ meeting and BoD section).
The quorum required for the approval of the following proposals, also pursuant to Article 104, paragraph 1, of the Italian Legislative Decree No. 58 of 24 February 1998 (“Consolidated Law on Finance” or “CLF”), was not reached:
- authorisation to purchase and dispose of own shares, as set out in item 2 on the agenda of the ordinary session;
- amendments to the 2023, 2024 and 2025 incentive systems, as set out in item 3 on the agenda for the ordinary session;
The discussion of item 4 (acquisition of all the ordinary shares in Assicurazioni Generali S.p.A. held by the subsidiary which, at the time of such acquisition, will hold those shares) and item 5 (distribution of reserves, partly in cash and partly in shares of Assicurazioni Generali S.p.A.) of the agenda of the ordinary session has been postponed after the discussion of items 3 and 4 of the agenda of the extraordinary session. Considering that the quorum required for the approval of items 3 and 4 of the agenda of the extraordinary session hasn’t been reached, items 4 and 5 of the agenda of the ordinary session were neither discussed nor put to the vote.
It is hereby announced that the other resolutions relating to the items on the agenda of the extraordinary session were not approved.
BMPS, acknowledging the outcome of the votes on items 3 and 4 on the agenda of the extraordinary session, declares that the BPM Offer and the BG Offer have lapsed.
