GREEN LIGHT FOR THE FULL INTEGRATION OF MEDIOBANCA INTO THE MONTEPASCHI GROUP THROUGH A MERGER BY INCORPORATION AND THE RESULTING DELISTING
FOCUS ON CORPORATE & INVESTMENT BANKING AND PRIVATE BANKING FOR HIGH-END CLIENTS IN A DEDICATED UNLISTED COMPANY NAMED MEDIOBANCA
Siena, 17 February 2026 – The Board of Directors of Banca Monte dei Paschi di Siena (the “Bank” or “BMPS”), which was held under the chairmanship of Nicola Maione, has resolved to proceed with the full integration with Mediobanca – Banca di Credito Finanziario Società per Azioni (“Mediobanca”) through a merger by incorporation and the resulting delisting of the latter.
Simultaneously, the corporate & investment banking and private banking activities for high-end clients will be transferred to a wholly owned, unlisted company of BMPS, which will retain the corporate name “Mediobanca SpA”, a brand of the highest value with a unique wealth of expertise and a synonym for excellence in advisory services to businesses and individuals. The equity stake in Assicurazioni Generali SpA will also be included in such perimeter.
The new Group structure is aimed at achieving strategic and profitability objectives and at fully achieving industrial synergies so to maximize value creation. This configuration is designed to enhance the distinctive expertise of Mediobanca and its professional resources, within a specialized operating model.
