EXECUTION OF DEED OF MERGER BY INCORPORATION OF
MPS CAPITAL SERVICES INTO BANCA MPS
Siena, 5 May 2023 - Further to the press release of 17 March 2023, it is hereby announced that Banca Monte dei Paschi di Siena S.p.A. (hereinafter “BMPS”) and MPS Capital Services S.p.A. (hereinafter “MPSCS”), in execution of the resolutions passed on 30 March 2023, by the Board of Directors of BMPS and the Extraordinary Shareholders’ Meeting of MPSCS, respectively, have today executed the deed of merger relating to the incorporation of MPSCS into BMPS (the “Merger”).
The Merger will be effective as of 29 May 2023 and as of 1 January 2023 with respect to the accounting and tax effects. The documentation relating to the Merger is available at the registered office of BMPS in Siena, Piazza Salimbeni no. 3, on the authorized storage system “eMarket STORAGE” at www.emarketstorage.com and on BMPS website at www.gruppomps.it
