BANCA MONTE DEI PASCHI INITIATES THE PRELIMINARY ASSESSMENTS IN RELATION TO THE POTENTIALI AGGREGATION TRANSACTION PROPOSED BY BANCO BPM AND THE NOTICE PURSUANT TO ARTICLE 102 OF THE CONSOLIDATED FINANCIAL LAW SUBMITTED BY INTESA SANPAOLO

Siena, 8 June 2026 – The Board of Directors of Banca Monte dei Paschi di Siena S.p.A. (the “Bank” or “BMPS”), which met today in a meeting that had already been scheduled, under the chairpersonship of Cesare Bisoni, acknowledged the communication received from Banco BPM yesterday and of the notice pursuant to Article 102 of Italian Legislative Decree No. 58/ 1998, as amended (the "Consolidated Law on Finance"), published by Intesa San Paolo today (the "Article 102 Notice").

BMPS will assess, in compliance with applicable laws and regulations, the unsolicited proposal regarding a potential merger transaction between the Bank and Banco BPM, as well as the voluntary public exchange and tender offer pursuant to the Article 102 Notice launched by Intesa Sanpaolo, which has not been agreed with the Bank.

BMPS is advised by UBS Europe SE and BofA Securities, as financial advisers and by BonelliErede and White & Case, as legal advisers.

The Bank confirms that all integration activities relating to Mediobanca are progressing as previously announced.
